Accepting the Agreement

1.1 This Agreement governs your use of Republic Bank’s Electronic Banking Services to perform a number of banking functions through use of your personal electronic devices. Please read it carefully.

1.2 You acknowledge by selecting “I agree”, signing the applicable registration form or using RepublicOnline that you have read, understood and agreed to the following terms and conditions, the Privacy Policy and the procedures contained in the Security Brochure for protecting access to your Accounts and information on your Devices; all of which you confirm are commercially reasonable.

2. Definitions

2.1 “Account" means any bank account or investment account held with Republic Bank.

2.2 "Device" means a personal computer, telephone, cell phone, smart phone, mobile device, wireless device, tablet device or any other electronic device that Republic Bank may allow you to use to access RepublicOnline.

2.3 “Login Credential(s)” means any user identification, password, login credential, second factor authentication, fingerprint, face or other biometric identification designated for your use as a means of identifying you and confirming your authorisation to access and use of RepublicOnline.

2.4 "Republic Bank", "Republic", “our”, “us” or “we” means Republic Bank Limited, its successors or assigns.

2.5 “Republic Group” means Republic Financial Holdings Limited and any of its subsidiaries and affiliates.

2.6 "Electronic Banking Service(s)" or “Service(s)” means Republic Internet Banking Service (“RepublicOnline”); Republic Mobile Banking App (“RepublicMobile App”); Republic Mobile SMS Banking (“SMS Banking”); Republic Electronic Assistant (“REA”) or any one or more of them.

2.7 “you" and “your” refers to the person who maintains an Account with Republic Bank and his/its authorized signatories.

3. Access and Use of the Electronic Banking Services

3.1 By registering for Electronic Banking Services, you understand that Republic may contact you regarding important documents that must be signed and presented to Republic before the Account can be accessed. You will list all Accounts to be accessed through Electrotonic Banking Services on your Republic Customer Profile. In order to link different Accounts, you must be a signatory of these Accounts. To access your Account through Electronic Banking Services, you must first create Login Credentials unique to you. To provide you with additional protection while using the Electronic Banking Services, you must also register for and activate a unique second factor authentication code. This second factor authentication code must be used along with the Login Credentials in order to access your Accounts and to conduct transactions via Electronic Banking Services. 3.2 Notwithstanding Section 13 below, for corporate and commercial users of RepublicOnline only, this Agreement modifies the existing Account mandate by adding authorized users as detailed in your RepublicOnline registration form. These additional authorized users shall only have access to your Account through RepublicOnline in the manner detailed in this Agreement.

3.3 Any and all transactions on your Account initiated via RepublicOnline using your Login Credentials will be considered authorized by you without further verification. Republic Bank is hereby authorized to honour, execute and charge those transactions to your Account(s) and you acknowledge and agree that these procedures are commercially reasonable.

3.4 You may use Electronic Banking Services to electronically access your Accounts and to perform various banking services. To find out more about what you can do with Electronic Banking Services visit our FAQs.

3.5 Any balance shown through any Electronic Banking Service, if not otherwise specified, will reflect the available balance based on the debits and credits that Republic Bank processed on your Account at the time of the enquiry. You acknowledge that the available balance shown may not be the actual available balance on your Account. Differences in the available balance may be caused by deposits still subject to verification by Republic Bank, outstanding cheques not yet posted to your Account or other withdrawals, payments, holds or charges.

3.6 You acknowledge that bill payments must be initiated at least five (5) business days before the actual due date of the bill. Republic will not be liable for any loss or damages that may be incurred as a consequence of late payment of a bill or from erroneous payment.

3.7 You will instruct Republic Bank to transfer funds between your Accounts only when a sufficient balance is or will be available at the time of such instruction. Republic Bank will not be obligated to act on any withdrawal instruction from you if sufficient funds, including overdraft lines of credit, are not available in the designated account.

3.8 Republic Bank may from time to time set or change limits for transactions that may be carried out by you through Electronic Banking Services. Notification of changes will be in accordance with applicable laws.

3.9 Any transaction of any Electronic Banking Service negotiated in a foreign currency will be converted at the exchange rate determined by Republic Bank on the day the transaction is posted to your Account.

3.10 Subscription to SMS Alerts

• SMS alerts will be sent to the mobile number noted on your enrolment form; • You are required to notify Republic Bank or update his/her user profile to reflect changes in mobile numbers; • Republic Bank shall not be liable for SMS alerts sent out to unintended recipients if mobile numbers are not updated or incorrect; • There is a telephone charge imposed by your telecommunications service provider for sending and receiving text messages on your mobile phone for this service. 3.11 You may request to buy or sell shares via the Electronic Banking Service. You acknowledge that you have read, understood and agreed to the Risk Disclosure Document, which contains important information on trading in equities and other assets before requesting a purchase or sale of shares. Your request will not be recorded for processing until you receive a telephone call from a representative of Republic Wealth Management Limited.

4. Security

4.1 You are solely responsible for ensuring that you access Electronic Banking Services from a secure location, connection and Device. You must keep your Login Credentials safe and confidential and must not disclose it to any third-party. You agree not to leave your Device unattended while logged into any Electronic Banking Service and to log off immediately at the completion of each access. If you know or believe that unauthorized access to your Account has or may occur or that your Login Credentials have or may have become known to an unauthorized person, you must immediately change your Login Credentials then contact Republic Bank via the contact information listed on Republic Bank’s contact page. Republic Bank will be entitled to immediately act on any authorization received via any Electronic Banking Service. If you permit other person(s) to use your Login Credentials or it is used by an unauthorized person you will be liable for any loss incurred from any transaction.

4.2 For your security, we do not recommend using on a shared Device, Touch ID, One Touch Access, Face recognition, Fingerprint ID, or any other biometric authentication feature to access a Electronic Banking Service. If you choose to enable any biometric authentication feature to login to an Electronic Banking Service, please note that any of the fingerprints or face identification which you have stored on your Device may login to an Electronic Banking Service. You should ensure that only your fingerprints, face or other of your biometric data are stored on your Device. You should also ensure the security of the security codes as well as the passwords or codes that you use to register your face, fingerprint, or other biometric identification on your Device. You understand that the face, fingerprint or other biometric authentication module of your Device is not provided by Republic Bank, and we make no representation or warranty as to the security of the face, fingerprint, or other biometric authentication function of any Device or that such biometric authentication features will be available at all times or will work or function in the way that the manufacturer of the Device represents. You agree that if you choose to enable Touch ID, One Touch Access Face recognition, o Fingerprint ID, or any other biometric authentication feature to access any Electronic Banking Service, you do so at your sole risk. You further agree that Republic Bank is authorized to verify your identity using such face, fingerprint or other biometric feature instead of using your username and password to provide access to your Accounts and to process any and all instructions we receive under such access; all of which shall be binding on you. Republic reserves the right at any time without prior notice or reason, to modify, suspend, or terminate your access to RepublicOnline via Touch ID, One Touch Access Face recognition, o Fingerprint ID, or any other biometric authentication feature, where we reasonably consider necessary or advisable to do so. These cases may include actual or suspected breach of security. If at any time and for any reason, you are unable to access RepublicOnline via Touch ID, Face ID or other fingerprint, face or biometric authentication feature, you may access RepublicOnline using your username and password along with your second factor authentication.

5. Costs and Charges

Electronic Banking Services are free of charge. The normal charges associated with your Account, transactions or services will continue to be applicable. Republic Bank reserves the right to review its pricing from time to time and change or amend charges for use of any one of more of the Electronic Banking Services as deemed necessary and you will be advised of these changes as they become applicable. You are responsible for all charges and fees incurred from your telecommunications or internet provider (including all internet, SMS or mobile data charges).

6. Your responsibilities and undertakings

6.1 By enrolling for the Electronic Banking Services and in providing or communicating any information to Republic Bank you confirm and warrant that you are legally entitled to do so and that at all times all information provided is authentic, accurate, current and complete.

6.2 You are solely responsible for the accuracy and completeness of any information you supply to Republic or communicate through any Electronic Banking Channel. If you notice an error in the information supplied to Republic, you must immediately advise us in writing. Republic accepts no liability for any consequences arising out of erroneous information or the accuracy, reliability or completeness of information supplied by you or otherwise.

6.3 You agree to take every precaution to ensure the safety, security and integrity of your Account and transactions when using the Electronic Banking Services. You agree not to leave your Device unattended while logged into any of the Electronic Banking Services and to log off immediately at the completion of each access. You agree that you are responsible for ensuring that your Device is protected from and kept free of viruses, worms, Trojan horses or other similar harmful components that could result in damage to programs, files or could result in information being intercepted by a third-party.

6.4 You acknowledge that it is your decision to communicate personal information to Republic through RepublicOnline. You therefore accept and agree that you access and use RepublicOnline at your own risk, which risk includes (but is not limited to) the risk of unauthorized third persons obtaining access to your personal information, Devices or Accounts, through frauds, misuse, hacking, infection / attacks by viruses or other malicious, destructive or corruptive codes; or other actions. Republic is not and shall not be held responsible or liable for any loss or damage flowing from such unauthorized access or interception of information submitted through RepublicOnline. All information submitted to Republic through any Electronic Banking Channel shall be deemed and remain the property of Republic.

6.5 You agree not to use the Electronic Banking Services or the content or information delivered through the Electronic Banking Services in any way that:

  • is fraudulent;
  • violates any law, statute, ordinance or regulation;
  • is false, misleading or inaccurate;
  • is defamatory, trade libelous, unlawfully threatening, unlawfully harassing; or
  • interferes with or disrupts computer or telecommunication networks connected to the Electronic Banking Services.

6.6 You agree that the Electronic Banking Service is only for your personal or business use to access your Account. You agree not to make any commercial use of Electronic Banking Services or resell, lease, rent or distribute access to Electronic Banking Services.

6.7 Where the Electronic Banking Services are linked to a joint Account, all joint account holders are jointly and severally liable under the provisions of this Agreement.

7. Third Parties

You understand and agree that Republic Bank may retain and used a third party to act on its behalf to provide or to assist in the provision of the Electronic Banking Services. Please note however that Republic Bank does not sponsor or outside the Republic Group than subsidiaries and affiliates of Republic Bank.

8. Changes in Services / Terms

8.1 Republic Bank may add, remove or change any part or feature of a service channel which is considered an Electronic Banking Service under this Agreement or introduce new channels without notice to you. Notwithstanding any such change, this Agreement will continue to apply to all Electronic Banking Services offered by Republic Bank.

8.2 You agree that Republic Bank may amend the terms and conditions of this Agreement at any time providing that a minimum of thirty (30) days’ notice is provided regarding. Republic Bank can provide such notice to you using a method of communication determined by Republic Bank, which may include (without limitation), market announcements or notices published on Republic Bank’s website, ATM Screens or in branches. You understand that when using Electronic Banking Services after a change to this Agreement becomes effective, you will be bound by the terms and conditions of the revised Agreement. If you do not agree to the proposed amendments to this Agreement, you may cancel the same in accordance with the provisions contained in clause 9 below.

8.3 Republic Bank may discontinue any service channel which is considered as an Electronic Banking Service under this Agreement without giving the Customer personal notice of such discontinuation. Republic Bank may, in its sole discretion, give notice of any discontinuation of an Electronic Banking Service by making market announcements, publishing notices in Republic Bank’s website, ATM Screens, branches or any other method of communication that Republic Bank chooses to utilize.

9. Cancellation

You may cancel this Agreement at any time by written notification to Republic Bank. Republic Bank has the right in its sole discretion to limit, suspend or terminate your use of the Electronic Banking Services and cancel this Agreement, for any reason and at any time. the Electronic Banking Services will not be cancelled until all pending transactions have been cleared. Republic Bank will not be responsible for any loss or inconvenience that may result from such suspension or termination.

10. Confidentiality and Privacy

10.1 You have a right to confidentiality and Republic is committed to protecting your personal information. Please note that Republic may disclose information about you or your Accounts in response to or in connection with credit inquiries; laws, legal process or court order, or if disclosure is necessary, desirable or to protect Republic's interests.

10.2 Safeguarding your privacy and confidentiality is or paramount importance to Republic Bank. We will use your information for a number of different purposes, for example, to assess your eligibility for an Account(s) with us, to manage your Account(s), to provide our products and services to you and to meet our legal and regulatory obligations. We may also share your information with our trusted affiliate companies within the Republic Group for these purposes. 11. Limits of Liability

11.1 Republic Bank will make reasonable efforts to ensure full performance of the Electronic Banking Services. Republic Bank will be responsible for acting only on those instructions sent through the Electronic Banking Services, when they are actually received. Republic Bank does not assume responsibility or liability for any malfunction in or unavailability of communications facilities or information networks not under Republic’s control that may affect the accuracy or timeliness of messages or instructions you send.

11.2 Republic Bank is not responsible for any losses or delays in transmission of instructions flowing from the use of any third party provider (including but not limited to telecommunications or internet providers); or caused by any browser software malfunction; or for any failure or delay by Republic Bank in processing any transaction via the Electronic Banking Services which results from interruption of Republic Bank’s business due to equipment failure or malfunction, system disruptions, unavailability of any Electronic Banking Service for any reason, energy shortage, fire, flood, civil commotion, acts of terrorism, labour difficulties, adverse weather conditions or any other circumstance or event outside the control of Republic Bank. Further, Republic Bank is not responsible if you give incorrect instructions or if your payment instructions are not given sufficiently in advance to allow for timely payment.

11.3 Any information you receive from Republic Bank is believed to be reliable. However, it can only be provided on a best effort basis for your convenience and is not guaranteed. Republic Bank is not liable for any deficiencies in the accuracy, completeness, availability or timeliness of such information or for any investment or other decision made using this information.


11.5 Under no circumstances will Republic be liable for any claims, losses, damages or expenses whatsoever (collectively “Damages”), whether such Damages are direct, indirect, incidental, special, consequential or otherwise; or irrespective of whether such Damages arise from any claim based on loss of revenue, loss of opportunity, loss of profits, interruption of business or any other loss of any character or nature whatsoever and whether sustained by you or any other person, even if we had been advised of the possibility of such Damages.

12. Indemnity

12.1 Except to the extent directly caused by Republic Bank’s negligence, fraud or wilful misconduct, you agree to indemnify and hold harmless Republic Bank against any claim, cost, liability or other Damage incurred by Republic Bank in connection with or arising out of any third party claim, your use of any Electronic Banking Service or any other dealing between you and Republic Bank, including any and all losses arising out of, or incidental to, the use, including all unauthorized use of the Electronic Banking Services.

12.2 You further agree that Republic will not be liable to you for any loss or damage whatsoever or for any disclosure of information arising from any transaction made on your Account(s), using the Electronic Banking Services in any of the following circumstances and you agree to fully indemnify Republic for same:

  • you do not have adequate money in the Account to complete the transaction, or the Account specified has been closed;
  • you have failed to give complete, correct or current instructions for a transfer of funds or bill payment;
  • you have not given the instructions of transfer or bill payment within sufficient time for the payee to be credited by the time the money is due;
  • you allege that you did not carry out the instruction and your Login Credentials was compromised;
  • withdrawals from specified Accounts have been prohibited by court order;
  • a stop payment cannot be completed due to presentment already made and of which a report as to such presentment being stated by Republic is conclusive evidence.
  • Republic reasonably believes that the transaction may be contrary to legislation or rule of law.
  • a transaction is not processed due to bank holidays, however scheduled.
  • there are fluctuations in exchange rates published after sending your instructions

12.3 You agree to amicably settle any dispute or difference arising out of this Agreement between yourself and Republic. If this is not successful within a reasonable period of time as determined by Republic Bank, in its sole discretion, Republic Bank may initiate legal proceedings.

13. Other Agreements

Unless otherwise stated, this Agreement is in addition to all other existing agreements between you and Republic Bank including any card agreement, account mandate with Republic Bank or Republic Wealth Management Limited (formerly Republic Securities Limited) or signature card previously executed by you. If there is a conflict between the existing agreements and this Agreement, the existing agreements prevail except for the provisions of Section 3 of this Agreement.

14. Electronic Messages

Because you acknowledge that normal internet e-mail and mobile SMS transmissions may not be secure, you expressly agree to accept this risk to receive information and to contact us as follows:

  1. By phone only (623-4RBL) for queries which require the transmission of confidential customer account information.
  2. By email - internetbanking@rfhl.com (For Retail customers) or ibcorporate@rfhl.com (For Corporate customers) for general queries not containing confidential customer account information.

You also agree to receive communications regarding your Account electronically or via SMS and will not attempt to circumvent receiving any messages. You are deemed to have received any electronic messages sent to you when they are made available to you. Republic Bank shall not be liable in any respect for this transmission method nor for transmission being intercepted.

15. General

You agree:

  • in the event any one or more of the provisions of this Agreement is for any reason held to be invalid, illegal or unenforceable, the remaining provisions will remain valid and enforceable.
  • notices or correspondence from you to Republic, that are not sent via an Electronic Banking Service, must be in writing, signed by you and sent to your home branch address.
  • no delay or failure on Republic Bank’s part to exercise any right, remedy, power or privilege available under the Agreement will affect or preclude Republic Bank’s future exercise of that right, remedy, power or privilege.
  • this Agreement is governed by the laws of Trinidad and Tobago.
